2. Acceptance of these Terms

By applying for a place, accepting an offer, paying fees, allowing a Learner to attend, or attending a Programme, you agree to these Terms and Conditions.

If the Learner is under 18:

  • A Parent/Guardian must accept these Terms before the Learner starts.

  • The Parent/Guardian is responsible for fees and other financial obligations under these Terms.

  • References to “you” and “your” include the Learner and, where relevant, the Parent/Guardian.

These Terms should be read with our:

If there is a conflict between these Terms and Programme-specific written information, the Programme-specific information will apply to the extent of that conflict.

3. About our Programmes

Prologue provides structured training and work experience designed to develop commercial skills, professional confidence, workplace awareness, and employability.

A Programme may include:

  • Taught sessions, workshops, and practical projects

  • Mentoring and coaching

  • Employer engagement and professional events

  • Online learning and programme materials

  • Work-experience placements

  • Feedback, assessments, progress reviews, or learner support

We will provide the Programme with reasonable care and skill. The Consumer Rights Act 2015 requires consumer services to be delivered with reasonable care and skill, and relevant pre-contract information and statements about the service can form part of the contract.

4. Applications, enrolment, and places

A place is confirmed only when Prologue has accepted the application and received any required deposit or first payment.

For Learners under 18, a Parent/Guardian must provide required consent, emergency-contact information, and relevant declarations before the Learner starts the Programme or attends a placement.

You must give complete, accurate, and up-to-date information during the application and enrolment process. You must tell us promptly if there is a change that may affect safe or suitable participation, including a relevant health, disability, accessibility, welfare, safeguarding, emergency-contact, or support need.

We may reasonably decline an application, defer a start date, or withdraw an offer where:

  • The Programme is not suitable for the Learner.

  • Entry requirements are not met.

  • Information supplied is materially inaccurate, misleading, incomplete, or has materially changed.

  • We cannot safely provide the Programme, required support, or placement.

  • Enrolment would create a material health and safety, welfare, safeguarding, conduct, or operational concern.

We will act fairly and proportionately when making these decisions. Nothing in this section limits your statutory rights.

5. Parent and Guardian responsibilities

This section applies to Learners aged under 18.

The Parent/Guardian must:

  • Accept these Terms on the Learner’s behalf.

  • Provide accurate contact details and at least one emergency contact.

  • Provide relevant medical, accessibility, welfare, safeguarding, and support information needed for safe participation.

  • Tell Prologue promptly about changes to contact details, health, welfare, care arrangements, or circumstances that may affect safe participation.

  • Pay fees and meet other financial obligations under these Terms.

  • Support the Learner to meet reasonable attendance, conduct, and placement expectations.

  • Be contactable during Programme and placement activity, or nominate an alternative responsible adult for emergencies.

We may contact a Parent/Guardian where reasonably necessary to protect the Learner’s wellbeing, manage attendance or conduct, respond to an emergency, meet safeguarding responsibilities, or comply with legal obligations.

We may share relevant information without consent where necessary and lawful to safeguard a child or another person, prevent crime, respond to an emergency, comply with a court order, or meet another legal obligation.

6. Fees and payment

Fees are charged termly unless we agree a different arrangement in writing. Payment dates and amounts will be shown in the offer, invoice, payment schedule, or other written communication from us.

You must pay fees by the stated due date. If payment is overdue, we may give reasonable written notice and then:

  • Suspend access to Programme sessions, activities, events, online systems, or materials.

  • Prevent attendance at training or placement activity.

  • Withhold non-statutory documents, certificates, or references until payment is received where this is lawful and proportionate.

  • Withdraw the Learner’s place.

We may charge interest on overdue sums at 4% above the Bank of England base rate per year, calculated from the due date until full payment is received.

Any discount, bursary, scholarship, payment plan, or special arrangement must be confirmed in writing. We may withdraw it if eligibility conditions are not met, payment terms are breached, or information relied on to assess eligibility was inaccurate.

Unless expressly confirmed otherwise in writing, fees do not include travel, meals, specialist equipment, accommodation, third-party services, or optional activities.

7. Cancellation, right to cancel, and refunds

7.1 Statutory 14-day right to cancel

If you enter into the contract online, by telephone, email, or away from our premises, you may have a statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel within 14 days of the date the contract is made. This is the Cooling-off Period.

To cancel, you must clearly notify us by email or in writing using the contact details in Section 22. You do not need to give a reason.

Where a valid statutory cancellation is made during the Cooling-off Period, we will refund sums due within 14 days of receiving the cancellation notice, normally using the original payment method. The normal cancellation period for a service contract ends 14 days after the contract is entered into.

7.2 Starting services during the Cooling-off Period

If you ask us to begin training, mentoring, access to learning materials, Programme support, or placement arrangements during the Cooling-off Period, you expressly request that services begin before that period ends.

If you cancel after services have started at your express request, you may be required to pay a reasonable and proportionate amount for services supplied up to the date of cancellation.

Where a service has been fully performed during the Cooling-off Period, you may lose the statutory cancellation right for that completed service only if you gave express consent for early performance and acknowledged that you would lose the cancellation right once the service had been fully performed.

7.3 Cancellation after the Cooling-off Period

If you cancel after the Cooling-off Period but before the Programme starts, we may retain or deduct only reasonable and proportionate costs that we have already incurred because of the booking, including any clearly stated administrative deposit. Any deduction will not exceed our actual or reasonably foreseeable loss.

If you cancel after the Programme has started, we will assess any refund fairly and case by case. We will consider:

  • Training, mentoring, materials, support, and placement arrangements already delivered or committed.

  • The notice you gave us.

  • Whether we can reasonably fill the place.

  • Serious illness, bereavement, disability-related circumstances, or other exceptional hardship.

  • Any failure by Prologue to provide services with reasonable care and skill.

Nothing in this section limits statutory consumer rights, including where services are not provided with reasonable care and skill, are not as described, or otherwise breach consumer law.

8. Attendance and participation

Regular attendance, punctuality, and active participation are important parts of a Programme. Learners must attend prepared, engage constructively, and complete reasonable Programme requirements.

Persistent lateness, unauthorised absence, low engagement, or failure to meet reasonable expectations may lead to:

  • Informal support and discussion of barriers.

  • An attendance or improvement plan.

  • A written warning.

  • A meeting with the Learner and, where relevant, the Parent/Guardian.

  • Suspension, removal, or withdrawal from the Programme where reasonable and proportionate.

Where placements form part of a Programme, attendance at the Placement Host’s workplace is required unless we agree otherwise in writing. Learners must follow reasonable workplace instructions, health and safety requirements, and conduct rules.

For Learners under 18, unexplained or concerning absence may be treated as a safeguarding issue and addressed under our Safeguarding Policy.

9. Learner conduct

Learners must treat staff, mentors, fellow Learners, Placement Hosts, clients, visitors, and members of the public with respect.

Learners must not engage in:

  • Bullying, intimidation, harassment, discrimination, victimisation, abusive behaviour, or hate-based conduct.

  • Sexual harassment, sexual violence, sharing intimate images without consent, or other harmful sexual behaviour.

  • Violence, threats, or conduct that creates a risk to health, safety, or wellbeing.

  • Dishonesty, fraud, theft, vandalism, or misuse of property.

  • Possessing, using, supplying, or being under the influence of illegal drugs.

  • Attending Prologue activity or a placement while affected by alcohol, illegal drugs, or another substance that makes safe participation impossible.

  • Breaching confidentiality, data-protection obligations, or intellectual-property rights.

  • Sharing illegal, explicit, discriminatory, harmful, or inappropriate content through Prologue systems or in connection with a Programme.

  • Conduct that materially harms Prologue’s relationship with a Placement Host or another partner.

We may investigate concerns fairly and take proportionate action. This may include a warning, support plan, temporary suspension, a change to placement arrangements, or withdrawal from the Programme.

For Learners under 18, concerns about sexual violence, sexual harassment, exploitation, child-on-child abuse, or other conduct that may create a safeguarding concern will be handled under our safeguarding procedures. Current safeguarding guidance treats every person under 18 as a child and expects concerns to be recorded and acted on promptly.

10. Work experience placements

10.1 Placement arrangements

Prologue may arrange work-experience placements with external businesses and organisations. A placement is subject to availability, suitability, learner needs, health and safety, safeguarding, and Placement Host requirements.

A placement is not guaranteed to remain unchanged. We may reasonably replace, postpone, shorten, adapt, or end a placement for educational, conduct, operational, safeguarding, health and safety, or Placement Host availability reasons.

Placement Hosts are responsible for their own workplace, management, staff, and day-to-day supervision. Prologue coordinates the educational placement experience and responds appropriately to concerns reported to us.

10.2 Learner responsibilities on placement

Learners must follow the Placement Host’s reasonable instructions, workplace policies, health and safety procedures, confidentiality requirements, and professional standards.

Learners must promptly tell Prologue, the Placement Host, or both if they experience or witness:

  • Abuse, neglect, harassment, discrimination, exploitation, or bullying.

  • Unsafe work, unsafe instructions, or a serious accident or near miss.

  • Inappropriate behaviour from an adult or another learner.

  • Sexual harassment, sexual violence, grooming, or coercion.

  • Any concern affecting their welfare or ability to continue safely.

We may withdraw, move, adapt, or end a placement where necessary to protect a Learner or another person.

10.3 Under-18 placements

For Learners aged 16 or 17, we will take reasonable steps before placement to assess suitability and safeguarding arrangements, including the Learner’s individual needs.

Placement Hosts must tell us promptly about serious accidents, safeguarding concerns, allegations, or serious conduct concerns involving a Learner.

10.4 Damage, loss, and third-party claims

Learners are responsible for loss or damage caused by their deliberate misconduct, unlawful actions, or negligence, subject to applicable law.

To the extent permitted by law, you agree to reimburse Prologue for reasonable losses, costs, claims, or damage that Prologue incurs because of the Learner’s gross misconduct or negligence towards a Placement Host or another third party. This does not require a Learner or Parent/Guardian to pay for losses they did not cause or that are not reasonably connected with the Learner’s actions.

11. Safeguarding, child protection, and Prevent

Prologue is committed to providing a safe, respectful, professional, and inclusive environment for Learners aged 16 and over.

Learners aged 16 and 17 are children for safeguarding purposes. Learners aged 18 and over may require adult safeguarding support where they are adults at risk.

We maintain a single Safeguarding Policy that forms part of the information governing participation in Prologue programmes. It explains our safeguarding procedures, reporting routes, staff and placement-host responsibilities, information-sharing approach, and how we respond to concerns or allegations. Learners, Parent/Guardians, staff, mentors, contractors, and Placement Hosts are expected to read and follow it.

11.1 Child safeguarding

For Learners under 18, Prologue will take reasonable steps to:

  • Maintain a named Designated Safeguarding Lead (“DSL”) and an alternative contact or deputy.

  • Ensure staff, mentors, contractors, and volunteers understand safeguarding responsibilities.

  • Provide appropriate safeguarding and Prevent training.

  • Record, respond to, and escalate safeguarding concerns appropriately.

  • Make referrals to children’s social care, police, health services, the Local Authority Designated Officer (“LADO”), or other suitable bodies where necessary.

  • Use safer recruitment and DBS-check processes appropriate to the role and contact with children.

  • Work with Placement Hosts to promote safety and welfare.

11.2 Adult safeguarding

For Learners aged 18 and over, we will respond appropriately where a Learner may be an adult at risk.

This generally means a person aged 18 or over who:

  • Has care and support needs, whether or not those needs are being met.

  • Is experiencing, or is at risk of, abuse or neglect.

  • Is unable to protect themselves from that abuse or neglect because of those needs.

Where we have a concern about an adult Learner’s safety or wellbeing, we will listen, record the concern, assess immediate risk, seek the Learner’s views and consent where appropriate, and refer or seek advice from adult social care, police, emergency services, or another appropriate agency where necessary and lawful.

11.3 Reporting safeguarding concerns

A safeguarding concern can be reported to the DSL, the alternative safeguarding contact, or any Prologue staff member in person, by telephone, by email, or in writing.

Independent Safeguarding Adviser: Victoria Raynor:

Safeguarding email: safeguarding@prlg.co.uk

Safeguarding telephone: 07825 447 800

For a non-emergency safeguarding concern outside normal operating hours, use the safeguarding contact details above. If there is an immediate emergency, imminent risk of harm, or a crime is in progress, call 999.

We may share information with Parent/Guardians, children’s social care, adult social care, police, health services, the LADO, Placement Hosts, Prevent partners, or another appropriate body where necessary and lawful. We cannot promise absolute confidentiality where someone may be at risk of harm or disclosure is legally required.

11.4 Prevent

We treat concerns about radicalisation or extremist exploitation as safeguarding concerns. We will maintain appropriate staff awareness, reporting procedures, and referrals where necessary and proportionate.

Current safeguarding guidance emphasises a child-centred approach, prompt action on concerns, a DSL and deputy, appropriate information sharing, and secure written records.

This section must be read alongside our Safeguarding Policy. If there is an immediate emergency, an imminent risk of harm, or a crime is in progress, call 999.

12. Health, accessibility, and fitness to participate

You must tell us about relevant medical conditions, disabilities, mental-health needs, allergies, medication, accessibility requirements, or other support needs that may affect safe participation in training or placement activity.

We will consider reasonable adjustments in accordance with applicable equality law. We cannot guarantee that every adjustment can be made in every setting, particularly where a Placement Host controls the workplace.

Learners must not attend training or placement activity if they are unwell, impaired, or otherwise unable to participate safely. If we reasonably believe continued participation presents a risk, we may ask the Learner to leave a session or placement and agree appropriate next steps.

For Learners under 18, we may contact the Parent/Guardian about relevant health, safety, welfare, attendance, or safeguarding matters.

13. Property, devices, and materials

Learners are responsible for their own belongings, devices, and study materials. Prologue is not responsible for their loss, theft, or damage unless caused by our negligence.

Equipment, documents, content, materials, access credentials, and other resources supplied by Prologue remain our property, or that of our licensors, unless we confirm otherwise in writing.

You must not copy, share, record, distribute, publish, sell, or commercially exploit Prologue materials without our prior written permission, except for personal study or where permitted by law.

14. Intellectual property

All Programme materials, brand assets, presentations, videos, worksheets, templates, documents, online content, and other materials created by or for Prologue are protected by intellectual-property rights.

We grant Learners a limited, personal, non-transferable right to use these materials solely for participation in the Programme and personal learning. Ownership of Prologue intellectual property does not transfer to a Learner.

Ownership of work created by a Learner may depend on the particular project, client, Placement Host, or agreement in place. We will explain material intellectual-property arrangements relevant to a project or placement.

We will use Learner work, testimonials, recordings, photographs, or images for marketing or promotional purposes only where we have appropriate consent or another lawful basis.

15. Confidentiality and data protection

Learners may receive confidential or proprietary information about Prologue, other Learners, Placement Hosts, employers, clients, or other third parties. This information must be kept confidential and used only for legitimate Programme or placement purposes.

This confidentiality obligation continues after a Programme or placement ends.

We process personal data in accordance with the Data Protection Act 2018, UK GDPR, and our Privacy Policy. Our Cookie Policy explains how we use cookies and similar technologies on our websites.

16. Internet and acceptable use

Where we provide access to systems, online learning spaces, Wi-Fi, digital tools, platforms, or devices, Learners must use them safely, lawfully, and professionally.

Learners must not:

  • Access, create, save, or share illegal, explicit, abusive, discriminatory, or inappropriate content.

  • Use systems to bully, harass, threaten, groom, exploit, discriminate against, or harm another person.

  • Introduce malware, interfere with security, or attempt to access systems without permission.

  • Breach confidentiality, privacy, data-protection rules, or intellectual-property rights.

  • Share images, videos, or recordings of another person without appropriate permission.

We may monitor systems and platforms where reasonably necessary for safeguarding, security, legal compliance, or operational purposes, in accordance with applicable law.

17. Changes to a Programme

We may make reasonable changes to Programme content, staff, timetables, venues, delivery methods, placement structure, or activities.

We will only make changes where reasonably necessary, including because of legal requirements, safety concerns, staffing, Learner numbers, Placement Host availability, or events outside our reasonable control.

Where a material change substantially affects the Programme, we will give reasonable notice where practicable and consider suitable alternatives.

18. Complaints

If you are unhappy with any part of a Programme, please raise it promptly with the relevant Prologue contact so we can try to resolve it informally.

If the matter is not resolved, you may submit a formal complaint in writing to:

Complaints contact: Simon Selkirk
Email: complaints@prlg.co.uk
Telephone: 01780 723825

We will handle complaints fairly, sensitively, and within a reasonable timeframe. The complaints process does not prevent us from taking immediate safeguarding, conduct, health and safety, or operational action where necessary.

Safeguarding concerns must be reported through the process in Section 11 and should not wait for the standard complaints process.

19. Limitation of liability

Nothing in these Terms limits or excludes Prologue’s liability for:

  • Death or personal injury caused by our negligence.

  • Fraud or fraudulent misrepresentation.

  • Breach of statutory consumer rights.

  • Any liability that cannot lawfully be limited or excluded.

Subject to the above, Prologue’s total liability for direct losses arising under or in connection with these Terms, whether in contract, tort, including negligence, or otherwise, will not exceed 100% of the total fees paid for the specific Programme giving rise to the claim.

We are not liable for indirect or consequential losses, loss of profit, loss of opportunity, or losses caused by circumstances outside our reasonable control. This does not affect statutory rights.

20. Events outside our control

We are not responsible for delay, disruption, or failure to provide services caused by events outside our reasonable control. This may include severe weather, public-health incidents, transport disruption, industrial action, technology or utility failure, emergency closure, civil emergencies, or unexpected Placement Host unavailability.

We will take reasonable steps to minimise disruption and may reschedule, adapt, replace, or provide an alternative form of delivery where reasonably possible.

21. Governing law and jurisdiction

These Terms are governed by the law of England and Wales.

If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your part of the United Kingdom. Subject to this, the courts of England and Wales have jurisdiction over disputes arising from these Terms.
